GOVERNANÇA CORPORATIVA NO SEGMENTO DA SAÚDE

Abstract

Objective: To develop a guide of best corporate governance (CG) practices for application in small and medium-sized healthcare organizations, unprecedented in the country, that adheres to the reality of hospitals, clinics and private laboratories. The theme of health governance is recent in the corporate world and aims to resolve conflicts of interest and mismatches between shareholders, directors and managers. To broaden the view of the problem, governance was correlated with Stakeholders theory, in order to identify which stakeholders cause greater influence in these companies.

Method: The methodology used was qualitative, with a descriptive character, applied by case study in organizations in Belo Horizonte. Initial data collection was carried out through bibliographical research on CG and stakeholders, supporting the construction of a semi-structured script for face-to-face interviews applied to 14 shareholders and directors.

Theoretical Framework: Analyzed the main concepts associated with Corporate Governance and its structures, the Stakeholders Theory, with the identification, analysis, prioritization and threats related to interested parties.

Results: The results show the lack of preparation for CG in organizations, high informality in corporate relations, delay in reporting information between the board, directors and shareholders. The low monitoring of stakeholders and the need to build a guide for the health industry were confirmed.

Conclusions/Contributions: As contributions, the authors created a guide with a checklist of best practices, aiming to contribute to the adoption of a new proactive posture in the relationship between capital and management, enhancing the sustainability of companies.
